<p></p> <h2><span><strong>The Opportunity</strong></span></h2> <p>Seamless is looking for a strategic, execution-focused <strong>Corporate Counsel</strong> who knows how to turn complex legal, privacy, and compliance requirements into clear pathways for business growth. In this role, you will drive our day-to-day legal operations, lead our global privacy program, and manage the deal desk for both vendor and customer contracts—protecting the company while accelerating revenue.</p> <p>You'll partner closely with the COO, business teams, and outside counsel to ensure we're not just managing risk, we're building compliant solutions that scale.</p> <h2><span><strong>Responsibilities</strong></span></h2> <h4><span><strong>Privacy &amp; Data Compliance</strong></span></h4> <ul> <li>Execute global privacy compliance efforts (GDPR, CPRA), including drafting data processing frameworks, privacy policies, and DPAs.</li> <li>Manage day-to-day privacy operations, including data protection impact assessments, data subject rights (DSARs), and internal guidance.</li> <li>Partner with internal stakeholders (Product, Security, IT) to align privacy practices with business objectives and regulatory standards.</li> <li>Act as the primary internal radar for privacy risk and customer/vendor data obligations, escalating high-risk items to executive leadership.</li> </ul> <h4><span><strong>Commercial &amp; Contract Law</strong></span></h4> <ul> <li>Lead the negotiation of commercial contracts, SaaS agreements, and data licenses, ensuring IP protection and liability mitigation.</li> <li>Maintain and update internal redline standards, fallback clauses, and negotiation playbooks.</li> <li>Streamline the contract lifecycle management (CLM) process to resolve inefficiencies and accelerate deal cycles for Sales and Finance.</li> <li>Review and negotiate vendor agreements, evaluating third-party risk and ensuring contract compliance.</li> </ul> <h4><strong>Product &amp; Platform Legal Support</strong></h4> <ul> <li>Advise Product and Engineering teams on legal implications of new features, public APIs, and platform policies.</li> <li>Draft and maintain public-facing terms of service, API use policies, and acceptable use standards.</li> </ul> <h4><strong>Employment &amp; Corporate Governance</strong></h4> <ul> <li>Provide legal guidance to HR on employment matters: contractor classifications, policies, and global employment frameworks.</li> <li>Support corporate governance needs, including board documentation prep and compliance reporting.</li> </ul> <h4><strong>Legal Operations &amp; Team Coordination</strong></h4> <ul> <li>Manage legal operations infrastructure: tools, templates, and matter management tracking.</li> <li>Deliver internal training programs (especially on data privacy) across the company.</li> <li>Coordinate workflows with external legal administrative support and collaborate with specialized outside counsel on complex matters.</li> </ul> <h2><span><strong>Skillset</strong></span></h2> <ul> <li>Deep experience in SaaS commercial law, data/privacy, and basic employment law.</li> <li>Demonstrated success in building internal trust and strong relationships with business partners.</li> <li>Excellent time management with a proven ability to operate autonomously in a fast-paced, high-velocity environment.</li> <li>Deep knowledge of federal, state, and global privacy laws (GDPR, CCPA/CPRA).</li> <li>Strong analytical, problem-solving, and contract negotiation skills.</li> </ul> <h2><span><strong>Education &amp; Requirements</strong></span></h2> <ul> <li>J.D. from an accredited law school and active license to practice law in at least one US state.</li> <li>3-5+ years of relevant legal experience, with at least 1-2 years in-house at a SaaS or technology company preferred.</li> <li>Familiarity with SaaS procurement models, SOC 2 requirements, or vendor security review processes.</li> <li>Experience with, or strong understanding of, public APIs and open-access data terms.</li> <li>Exposure to managing legal tech tools (CLM software) and coordinating with outside counsel.</li> <li>Certified Information Privacy Professional (CIPP) certification is a strong plus.</li> </ul> <p><br/><br/></p><p>Since 2015, <a href="http://seamless.ai/" target="_blank">Seamless.AI</a> has helped sales teams maximize revenue with the world’s first real-time B2B search engine.
